These terms govern your use of this website and set out the basis on which Palladio provides advisory services. Please read them before instructing us.

Who we are

Palladio is an independent strategy and advisory practice registered in England and Wales, with its registered office in London. References to we, us and our mean Palladio; references to you mean the visitor to this site or the client instructing us.

Using this website

This site is provided for general information about our practice. Nothing on it constitutes advice, an offer to act, or the formation of a client relationship. We take care to keep the site accurate but do not warrant that it is complete or current, and we may change or withdraw any part of it without notice.

Our services

We provide advisory, strategy, operations, growth and organisational services to boards and leadership teams. We are not authorised to provide regulated financial, legal, tax or audit services, and nothing we produce should be relied upon as a substitute for advice from a professional qualified in those fields.

Engagement letters take precedence

Every engagement is governed by a separate written engagement letter setting out scope, deliverables, timing, fees and the individuals responsible. Where anything in that letter conflicts with these terms, the engagement letter prevails. No engagement begins until that letter is signed by both parties.

Fees and payment

Fees are agreed in advance in the engagement letter, on a fixed-fee or time basis as stated there. Unless otherwise agreed, invoices are issued monthly in arrears and payable within thirty days. Reasonable expenses are charged at cost and agreed with you before they are incurred.

Your responsibilities

The quality of our work depends on the information we are given. You agree to provide the access, data and management time set out in the engagement letter, and to tell us promptly if anything material you have given us proves to be incomplete or incorrect. We are not responsible for conclusions that follow from information withheld from us.

Confidentiality

We treat everything you tell us as confidential and disclose it only to the members of the engagement team, to advisers bound by equivalent obligations, or where we are required to do so by law or a regulator. These obligations continue after the engagement ends. We will not name you as a client or describe your engagement publicly without your written consent.

Intellectual property

On payment of our fees in full, you own the reports, models and materials we prepare specifically for you. We retain ownership of the methods, frameworks, tools and general know-how we bring to the work, together with the right to use the skills and experience gained. The content of this website, including its text, images and design, remains our property or that of our licensors.

Liability

Our work is prepared for the client named in the engagement letter, for the purpose stated in it, and on the basis of the information available at the time. It may not be relied upon by any third party or for any other purpose. Our total liability in connection with an engagement is limited to the amount stated in the engagement letter. Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.

Ending an engagement

Either party may end an engagement on thirty days written notice, or immediately where there has been a material breach. You remain liable for fees and expenses properly incurred up to the date the engagement ends. We may decline or withdraw from work where continuing would place us in conflict or breach a professional obligation.

Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
